1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of Clipstar’s website, platform, and related services (the “Services”). By creating an account, connecting a social platform, submitting content, launching or joining a campaign, or otherwise using the Services, you agree to these Terms.
If you do not agree, do not use the Services. Clipstar is operated in connection with activities directed from Ontario, Canada.
2. Eligibility
You must be legally able to enter a binding contract in your jurisdiction and meet any minimum age requirements of Clipstar and the social platforms you connect. By using the Services, you represent that the information you provide is accurate and that you will keep it up to date.
3. Accounts and responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must not share accounts, impersonate others, or misrepresent your identity, affiliations, or audience.
4. Connected social media accounts
Certain features require connecting accounts on platforms such as TikTok, YouTube, Facebook, Instagram, or other supported networks. You authorize Clipstar to access information and public metrics as permitted by those platforms and your consent. You may disconnect accounts where the product allows, subject to ongoing campaign or payout obligations already in progress.
5. Creator responsibilities
Creators agree that they:
- Own or have permission to use all submitted content
- Will comply with campaign briefs, platform rules, and applicable law
- Will not submit duplicate links for the same video within a campaign
- Will not use purchased views, fake followers, bots, spam, or artificial engagement
- Will not abuse automated posting tools or engage in platform abuse
- Are responsible for any taxes owed on amounts they receive
6. Advertiser responsibilities
Advertisers and brands remain responsible for the content, claims, creative assets, and campaign instructions they provide. Advertisers must have the rights needed for creators to use campaign materials and must comply with advertising, disclosure, and consumer protection laws. Clipstar does not guarantee campaign performance or creator availability.
7. Campaign participation
Campaigns may include eligibility rules, platforms, rates, budgets, deadlines, and submission limits. Clipstar or the campaign sponsor may update campaign details, pause campaigns, or close campaigns early when budgets are exhausted or for operational, compliance, or integrity reasons.
8. Submission requirements
Submissions must use valid supported video links, meet campaign requirements, and represent original published content you are authorized to submit. Clipstar may reject submissions at its discretion, including for quality, policy, brand-safety, eligibility, or integrity reasons.
9. Duplicate submissions
Duplicate submissions are prohibited. For one creator within one campaign, each unique platform video may be submitted only once, regardless of URL format. Attempts to resubmit the same video may be blocked, ignored, or excluded from payouts.
10. Fraud prevention and prohibited conduct
You must not engage in:
- Fraud or misrepresentation
- Artificial engagement
- Purchased views or engagement
- Fake followers or inauthentic audiences
- Spam
- Automated posting abuse
- Platform abuse or attempts to manipulate metrics, verification, or payouts
Clipstar may investigate suspected abuse, withhold or reverse unverified amounts, exclude submissions, and suspend or terminate accounts engaged in fraud or abuse.
11. Verification and reviews
Clipstar may use automated verification, official platform metrics, admin-confirmed view counts, manual human review, or a combination of methods. Verification availability varies by platform. Until a platform integration is complete, Clipstar may rely on manual review. Verification decisions are final for payout eligibility unless Clipstar elects to reconsider them.
12. Payouts, budgets, and deadlines
Payouts are based only on verified eligible views under the applicable campaign rate and rules. Previously paid views are not paid again. Campaign budgets cannot be overspent; campaigns may close when budgets are exhausted. Deadlines, rate versions, and eligibility thresholds (including minimum view requirements where applicable) control when and how amounts become payable.
Clipstar may delay, adjust, or withhold payouts while reviewing integrity issues, incomplete payment details, destination validation failures, or legal holds. Providing accurate PayPal, crypto wallet, or other payout details is your responsibility.
13. Taxes
Creators and other users are solely responsible for determining, reporting, and paying any taxes owed on amounts received through Clipstar. Clipstar does not provide tax advice.
14. Intellectual property
Clipstar and its licensors own the Services, branding, software, and related intellectual property. You retain ownership of your content, and you grant Clipstar a limited license to host, display, analyze, and use submitted links and related materials as needed to operate campaigns, verification, analytics, and payouts. Campaign creative supplied by advertisers remains their responsibility and property as between the parties.
15. Suspension or termination
We may suspend or terminate access to the Services, with or without notice, for violation of these Terms, suspected fraud, legal risk, prolonged inactivity, or operational need. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, payout reconciliation, limitation of liability, and governing law) will survive termination.
16. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Clipstar disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted availability, error-free verification, or that third-party platforms will remain compatible.
17. Limitation of liability
To the maximum extent permitted by law, Clipstar and its operators, officers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the Services or these Terms. Clipstar’s total liability for any claim relating to the Services will not exceed the greater of (a) the fees you paid to Clipstar for the Services in the three months before the claim or (b) one hundred Canadian dollars (CAD $100), except where liability cannot be limited under applicable law.
18. Indemnity
You agree to defend, indemnify, and hold harmless Clipstar from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your campaigns, your misuse of the Services, or your violation of these Terms or applicable law.
19. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Exclusive venue for disputes will be the courts located in Ontario, Canada, unless applicable law requires otherwise.
20. Changes
We may update these Terms from time to time. The “Last updated” date reflects the latest revision. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
